Ratchet is a mechanism that determines the allocation of equity between shareholders and the management team of the PE-controlled company. A ratchet enables the management team to increase its equity allocation 
depending on the company’s actual performance and the return achieved by the PE firm.
该机制会决定股东和标的公司管理层之间的股权分配，如果公司的实际业绩良好并且PE公司获取了较高的投资回报，那么管理层就能获得更多的股权分配。这个是Ratchet在考纲中的定义。而earn-out在2023考纲已经不提了
