with a stock offer, the gains will be determined in part by the value of the combined firm, because the target firm´s shareholders do not receive cash and just walk away, but rather retain ownership in the new firm.
因为目标公司股东不会收到现金，而是保留新公司的所有权；所以并不是真的发这么多股票，融到这么多钱，才去收购这家公司，而是按照合并后的价值来计算。
