Simon同学，上午好。goodwill=收购对价 - equity的fair value
因为有unrecorded licenses（表外资产），所以被收购公司equity账面不准。
而paid ￡320 million to purchase a 50 percent stake in Boswell Company，而且The excess of the purchase price over the fair value of Boswell´s net assets was attributable to previously unrecorded licenses. 溢价都是用来支付的unrecorded licenses。所以没有商誉
