Paul同学你好，答案的意思是如果是站在控股股东的角度，公司价值会有相应的提升，这个就是我们说的控股权溢价。如果收购失败了，公司原先由于收购导致股价怎么涨的还会怎么跌回去。这里和我们讲的总折扣的公式并没有什么关系。

这个总折扣的公式，是不是其实在讲，一个PE收购的时候，由于lack of control（不是大股东），所以没有control premium，所以PE会要求在收购价格上打个折扣？
