产品手册写明： “an independent third party, the collateral manager, had sole authority over the selection of all mortgage bonds used as collateral in the CDO.” 即这个产品是由独立第三方挑选的。

然而实际上Knight met with the collateral manager and helped her select the bonds for the CDO.产品里的债券实际是有Knight帮这个所谓第三方筛选的。

这个过程可能会存在利益输送，不披露则违反利益冲突。
